Buying or selling a home (residential) or an investment property (commercial) can be emotional and very trying. They can also be some of the most rewarding times. We provide advice and counsel to clients regarding various real estate matters. These include purchases and sales, commercial and residential transactions, refinancing and loan transactions, and structural matters involving choice of entity and tax planning. We represent real estate sellers, buyers, lenders and financial institutions, and landlords.
We provide advice to clients regarding homestead real property ownership as it relates to estate planning, trust planning, and probate and trust adminstration.
Our services include attending real estate closings, preparing and reviewing closing documents, preparing deeds, and drafting, reviewing and negotiating Purchase and Sale Contracts and Leases. We also prepare Promissory Notes and Mortgages. We work closely with other counsel who will review surveys, resolve title issues, and issue title insurance.
Prior to making any investment in real estate, it is important that entity selections are considered and the appropriate choice of entity is implemented for the investment. These decisions require consideration of our client’s investment goals, tax considerations, the type of property involved, available choices of entity, and lending implications. We provide representation to our clients by providing entity and tax structural advice in connection with real estate transactions. We draft and prepare many forms of partnership agreements, including the tax allocation and distribution provisions.
